1. Acceptance of Terms
By signing up for a free trial, subscribing to a plan, or otherwise using our Services, you confirm that you are at least 16 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Services Provided
Aotex provides the following Services:
- Custom Email Domains: Setup and management of professional email domains and email automation.
- Website Development: Bespoke website creation and maintenance.
- SEO & Google Services: Search engine optimization and integration with Google tools (e.g., Google Analytics, Google Ads).
- Social Media Marketing: Targeted marketing strategies and ad campaigns.
- AI Chatbots: AI-powered chat solutions for customer inquiries.
- AI Voice Agents: Voice-based AI agents for task automation and customer interaction.
Services are provided on a subscription basis, with one-time setup fees where applicable, as outlined on our pricing page.
3. Free Trial
We offer a 14-day free trial for all Services. During the trial, you may access limited features (e.g., demo website, 500 chatbot interactions). No payment is required during the trial, but you must provide payment details to continue using the Services after the trial ends. If you do not subscribe, your access will be terminated, and any trial data may be deleted.
4. Subscriptions and Payments
- Pricing: Our Services are offered under tiered plans (Basic, Pro, Enterprise). Pricing includes one-time setup fees and monthly subscriptions, as detailed on our website.
- Billing: You agree to provide accurate payment information. Monthly fees are charged in advance on the same day each month as your initial subscription date. Setup fees are charged upon signup.
- Currency: All payments are in New Zealand Dollars (NZD) unless otherwise stated.
- Late Payments: If payment fails, we will attempt to charge your card for 7 days. If unsuccessful, your account may be suspended until payment is received.
- Refunds: Setup fees are non-refundable. Monthly subscriptions may be refunded within 7 days of payment if no significant work has commenced.
- Price Changes: We may adjust pricing with 30 days’ notice via email or website announcement. Changes will apply at the start of your next billing cycle.
5. Account Responsibilities
- Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- Accurate Information: You agree to provide accurate and up-to-date information when signing up or using our Services.
- Prohibited Use: You may not use our Services for illegal activities, to distribute harmful content (e.g., malware, hate speech), or to interfere with our systems.
6. Intellectual Property
- Aotex’s Rights: All content, software, and materials provided by Aotex (e.g., website designs, AI models, reports) remain the property of Aotex or its licensors. You are granted a non-exclusive, non-transferable license to use these materials solely for your use of the Services.
- Your Content: You retain ownership of any content you provide (e.g., website text, logos). By providing content, you grant Aotex a worldwide, royalty-free license to use, modify, and display this content as necessary to deliver the Services.
- Feedback: Any feedback or suggestions you provide about our Services may be used by Aotex without compensation or attribution.
7. Termination and Suspension
- By You: You may cancel your subscription at any time through your account dashboard or by emailing support@aotex.co.nz. Cancellation takes effect at the end of your current billing cycle.
- By Aotex: We may suspend or terminate your account if you violate these Terms, fail to make payments, or engage in activities that harm Aotex or its users. We will provide notice unless immediate action is required to prevent harm.
- Post-Termination: Upon termination, your access to the Services will cease, and we may delete your data after 30 days, except as required by law.
8. Limitation of Liability
To the maximum extent permitted by New Zealand law:
- Aotex is not liable for indirect, incidental, or consequential damages (e.g., loss of profits, data, or business opportunities) arising from your use of the Services.
- Our total liability for any claim will not exceed the amount you paid us in the 12 months preceding the claim.
- We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements.
9. Third-Party Services
Our Services may integrate with third-party tools (e.g., Google Analytics, social media platforms). Aotex is not responsible for the performance, security, or terms of these third-party services. You are responsible for complying with their terms of use.
10. Data Privacy
We handle your personal information in accordance with our Privacy Policy (available at www.aotex.co.nz/privacy-policy). By using our Services, you consent to the collection, use, and sharing of your data as described therein.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms will be resolved through negotiation in good faith. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of New Zealand.
12. Changes to These Terms
We may update these Terms to reflect changes in our Services or legal requirements. We will notify you of significant changes via email or a website notice at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance of the updated Terms.
13. Force Majeure
Aotex is not liable for delays or failures in performance due to events beyond our reasonable control, including natural disasters, cyberattacks, or government actions.
